Terms of Service

These Terms of Service ("Terms") govern your use of ApexAcumen, an AI-assisted contract analysis product operated by bigSIMPLE Development LLC ("we," "us," "our"). By creating an account or uploading a document, you agree to these Terms. If you don't agree, please don't use ApexAcumen.

1. The Service

ApexAcumen accepts contracts, NDAs, leases, terms of service, and similar documents in PDF or DOCX format and produces a clause-level risk analysis with plain-English explanations using third-party AI models. The service is provided as-is. We may add, change, or remove features at any time.

2. Not Legal Advice

ApexAcumen is a software tool, not a lawyer. Nothing produced by ApexAcumen constitutes legal advice, creates an attorney-client relationship, or replaces the judgment of a licensed attorney in your jurisdiction. AI output may be incomplete, inaccurate, or wrong about important provisions. Do not rely on ApexAcumen for any decision with material legal, financial, or personal consequences without independent review by qualified counsel.

3. Your Account

To use ApexAcumen, you need an account. You're responsible for keeping your login credentials confidential and for all activity under your account. You must be at least 18 years old to create an account. If we learn that an account belongs to someone under 18, we will close the account and delete its data. You agree to provide accurate information and to keep it up to date.

4. Acceptable Use

You agree not to:

• Upload documents you do not have the legal right to share with a processor (e.g., documents under an NDA that prohibits AI submission)
• Upload documents that contain material you are not authorized to disclose
• Use ApexAcumen to violate any law or the rights of others
• Reverse-engineer, decompile, or attempt to extract our source code, except as permitted by applicable law
• Attempt to gain unauthorized access to other users' accounts or to our systems
• Use automated tools to scrape, crawl, or extract data from the service beyond what's offered through the public app interface
• Resell or repackage the service or its output as your own legal product without permission
• Interfere with or disrupt the service, including by overloading it with requests

You are solely responsible for ensuring you have the right to upload any document you submit. We may suspend or terminate accounts that violate these rules.

5. Third-Party Services

ApexAcumen relies on the following third-party services. Your use of the service through ApexAcumen is also subject to their own terms:

• Anthropic (Claude API) — AI document analysis
• Stripe — payment processing

6. Content and Intellectual Property

Your documents. Documents you upload remain yours. We do not claim ownership and we do not use them to train AI models. See the Privacy Policy for retention details.

Analysis output. The risk analysis we generate from your document is provided to you for your own use. Because output is generated by AI and may rely on common legal concepts, we make no warranty of originality and disclaim copyright in the output to the extent applicable law allows.

Sharing. On plans that include it, you can create a link to an analysis. A share link shows the AI analysis only: risk scores, summaries, and clause-by-clause explanations. It never includes your document, its text, or its file name. Anyone who has the link can view the analysis until it expires (7 days), so share it only with people you trust. Because AI summaries describe your contract, they may mention parties, amounts, or terms from it. You are responsible for making sure you're allowed to share that information, including any obligations you owe under a confidentiality agreement.

Our software. The ApexAcumen app, name, logo, and original software are the property of bigSIMPLE Development LLC and protected by copyright and other intellectual property laws.

7. Plans, AI Credits and Payments

ApexAcumen's AI features (document scans, clause rewrites, chat, and similar) draw on a balance of AI Credits. Credits are deducted according to the processing cost of each AI request, so larger documents or longer conversations use more. Your balance is shown in the app. Credits have no cash value and cannot be transferred. There are two ways to pay for more credits than the free allowance: a subscription, and one-time credit packs. You can use either or both.

Subscriptions and credit packs are purchased on our website. The iOS and Android apps don't sell them, and purchases made on the website work in the apps.

Subscriptions (paid plans)

• Automatic renewal. A subscription renews automatically every month and charges the payment method on file at the then-current price until you cancel. The price, billing frequency and these renewal terms are shown before you subscribe, and we email you a confirmation that includes them and explains how to cancel.
• Cancel any time, online. You can cancel from the Manage Billing page on the ApexAcumen website (acumen.bigsimple.dev), or by emailing us. Cancellation stops future renewals. Your plan stays active until the end of the period you have already paid for, and we don't charge again after that. We don't give partial refunds for the rest of a billing period, except where the law requires them.
• Monthly credits. Each billing period includes an allowance of AI Credits, shown on the plan when you subscribe. Unused subscription credits carry over to the next period, up to a limit shown in the app. They end when the subscription ends or is downgraded to the free plan.
• Price changes. We will email you at least 30 days before a price change takes effect on your subscription. You can cancel before then to avoid the new price.
• Failed payments. If a renewal payment fails, your plan stays active while we retry the charge for a limited time, and you can update your card from the Manage Billing page on the ApexAcumen website (acumen.bigsimple.dev). If the payment still can't be collected, the subscription is cancelled and your account returns to the free plan.

Credit packs

• One-time purchases. Credit packs are single payments. They don't renew, and you won't be charged again unless you buy another pack.
• Purchased credits never expire. Pack credits stay on your account until you use them, including after a subscription ends. Subscription credits are used first, then purchased credits.
• Pack prices may change at any time. A change never affects credits you have already bought.

General

• Payment. Payments are processed by Stripe under their terms. We never see or store your full card details.
• Refunds. Apart from the cancellation terms above, refunds are provided at our discretion, except where required by law.
• Closing your account. Closing your account cancels any active subscription so you are not billed again. Unused credits are forfeited when an account is closed or terminated for violating these Terms.

8. Privacy

Our Privacy Policy explains what data we collect and how we use it. By using ApexAcumen, you agree to the practices described there.

9. Termination

You can close your account at any time from Settings → Delete Account in the app, or by emailing us. Closing your account deletes your saved documents and associated analysis history within 30 days.

We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the service. If we terminate the service entirely, we'll provide reasonable notice and a way to export your saved analyses.

10. Disclaimers

ApexAcumen is provided "as is" and "as available." We don't warrant that the service will be uninterrupted, error-free, or that it will meet your specific needs. AI-generated analysis may contain errors, omissions, hallucinations, or misinterpretations. Risk classifications are heuristic, not authoritative. Do not act on ApexAcumen output without independent legal review.

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, bigSIMPLE Development LLC is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of ApexAcumen, including any decision you make based on AI-generated analysis. Our total liability for any claim related to the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $50 USD.

Some jurisdictions don't allow these limitations; in those places, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless bigSIMPLE Development LLC from any claims, losses, or expenses arising from your misuse of the service, your violation of these Terms, your violation of any third party's rights, or any decision or action you take based on ApexAcumen output.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of ApexAcumen will be resolved in the state courts located in Butler County, Ohio, or in the United States District Court for the Southern District of Ohio, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and notify account holders by email at least 14 days in advance. Continued use of ApexAcumen after the effective date of the updated Terms means you accept the changes.
